Agreement to Terms

By accessing or using the ReferVo mobile application and website (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Description of Service

ReferVo is a referral marketplace platform operated by ReferVo Inc that enables businesses and professionals to connect with trusted partners, send and receive qualified leads, earn referral fees when leads convert, and build reputation through reviews and ratings.

Platform Role and Relationship

ReferVo acts solely as a technology platform that facilitates connections between businesses and professionals. ReferVo is not a party to any transaction, agreement, or relationship between users. When one user sends a referral to another user, the resulting transaction is solely between those two parties.

ReferVo does not:

Guarantee the quality, accuracy, or outcome of any referral or lead
Employ, endorse, or control any user on the platform
Guarantee that any referral will result in business or revenue
Assume any liability for disputes between users

Eligibility

To use the Service, you must be at least 18 years of age, have the legal capacity to enter into a binding agreement, not be prohibited from using the Service under applicable laws, and provide accurate and complete registration information.

Account Registration and Security

You agree to provide accurate, current, and complete information during registration, maintain and update your information, maintain the security of your login credentials, accept responsibility for all activities under your account, and notify us immediately of any unauthorized access.

User Conduct

You agree not to use the Service to violate any applicable laws, submit false or fraudulent information, harass other users, spam or send unsolicited communications, interfere with the Service, use automated systems without permission, or engage in activity that competes with ReferVo.

Payment Processing and Stripe Connect

Payment Facilitation: ReferVo uses Stripe Connect to facilitate payments between users. ReferVo does not process, hold, or control funds at any time. All payments flow directly from the paying user to the receiving user's Stripe account.

Stripe Connected Accounts: To receive payments through ReferVo, you must create and maintain a Stripe Express connected account. By creating a Stripe account through ReferVo, you agree to Stripe's Connected Account Agreement and Stripe Services Agreement.

Direct Payments: When a referral fee is paid, funds are transferred directly from the paying user's payment method to the receiving user's Stripe account. ReferVo never takes possession or control of these funds. ReferVo collects a platform fee (application fee) at the time of transaction, which is deducted before funds reach the recipient.

Not a Money Transmitter: ReferVo is not a bank, money transmitter, or payment facilitator. ReferVo does not hold, store, or transmit funds on behalf of users. All payment processing is performed by Stripe, a licensed payment processor. Users appoint Stripe—not ReferVo—as their agent for the limited purpose of receiving, holding, and settling funds.

Payment Disputes: Disputes regarding payments, chargebacks, or refunds are handled between users and Stripe. ReferVo may assist in resolving disputes but is not responsible for payment failures, delays, or disputes between users.

Referral Fees and User Agreements

Referral fees and payment terms are established between users through the ReferVo platform. Users agree to the fee structure when establishing connections. ReferVo is not responsible for disputes between users regarding referral fees, the quality of leads, or the services provided to referred leads.

Platform Fees

ReferVo Inc charges a platform fee on successful referral transactions. This fee is automatically deducted from payments processed through the platform. We reserve the right to modify our fee structure with reasonable notice to users.

Tax Responsibilities

Users are solely responsible for determining and fulfilling their own tax obligations, including reporting income received through referral fees. ReferVo may provide transaction records and, where required by law, issue tax forms such as IRS Form 1099-K. ReferVo does not provide tax advice, and users should consult with a qualified tax professional.

Intellectual Property

The Service and its original content, features, and functionality are owned by ReferVo Inc and are protected by intellectual property laws. You retain ownership of content you submit but grant ReferVo Inc a license to use such content in connection with operating the Service.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY LEADS OR REFERRALS WILL RESULT IN SUCCESSFUL BUSINESS OUTCOMES.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFERVO INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO FAILED TRANSACTIONS, PAYMENT DISPUTES, OR THE QUALITY OF REFERRALS.

Indemnification

You agree to indemnify and hold harmless ReferVo Inc and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another party.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for violation of these Terms, fraudulent or illegal activity, or conduct harmful to other users or the Service.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, United States.
